Welcome to Veloxis Web Studios. By visiting our website or engaging us to perform design, custom software engineering, consulting, or DevOps operations, you agree to comply with and be bound by the following Terms of Service.

These Terms constitute a legally binding agreement between you ("Client" or "User") and Veloxis Web Studios ("Studio," "we," "our," or "us"). Please review these terms carefully. If you do not agree, you must cease using our website and decline all developer services.

1. Scope of Services

Veloxis Web Studios provides high-fidelity custom software development services. Each engagement is governed by a separate, signed Statement of Work (SOW) or proposal detail. Our services include:

  • User interface and user experience design (UI/UX wireframes, visual design systems).
  • Frontend and backend web applications, APIs, SaaS systems, and databases.
  • Native and hybrid mobile applications for iOS and Android.
  • Artificial Intelligence pipelines, vector database setups, and custom RAG integrations.
  • Low-level system software development, performance auditing, and cloud DevOps setups.

2. Project Milestones & Delivery

We work systematically in iterative sprints. Project timelines are estimates based on standard developers workflows.

  • Client Feedback: Prompt feedback and credential delivery (API keys, asset folders) are required to hit milestone deadlines. Delays in client feedback automatically push delivery dates out.
  • Change Requests: Substantial alterations to the SOW after kickoff will require a change order and may incur additional charges or affect overall delivery timelines.

3. Fees, Payments & Invoicing

Pricing details are specified in your tailored SOW. Unless otherwise outlined, our standard billing structure is as follows:

  • Down Payment: An initial non-refundable deposit (typically 30–50%) is required before scheduling resources or beginning development work.
  • Milestone Invoicing: Invoices are generated at key milestones (e.g., UI approval, alpha staging build, beta release, final delivery).
  • Late Fees: Invoices unpaid after 14 days of receipt may cause work suspension and trigger late interest fees of 1.5% per month.
  • Third-Party Fees: The client is solely responsible for third-party subscriptions, including domain hosting (Vercel, AWS), API fees (OpenAI, Twilio), and App Store registration fees.

4. Intellectual Property & Source Code Ownership

Ownership rights of the custom software code transfer to the client upon full payment of the agreed project fee:

Upon final settlement of all outstanding invoices, Veloxis Web Studios assigns all rights, titles, and interests in the custom source code, assets, and design mockups designed specifically for the client. We retain standard rights to pre-existing libraries, modular tools, open-source dependencies, and the right to show anonymized screenshots of the project in our design portfolio unless an NDA explicitly forbids it.

5. Warranties, Limitations & Support

We build to professional industry standards and perform comprehensive checks prior to deployment.

  • Warranty Period: We offer a 30-day post-launch warranty to fix code discrepancies or bugs that violate the agreed-upon project specifications.
  • Disclaimer: We do not warrant that software operations will be uninterrupted or entirely error-free, particularly when integrating with third-party APIs or operating systems that change outer parameters.
  • Limitation of Liability: In no event will Veloxis Web Studios be liable for any lost profits, lost data, service downtime, or consequential damages. Our total liability is capped at the sum paid to us for the specific project.

6. Termination

Either party may terminate an active project engagement with 14 days written notice if a party breaches these terms and fails to cure it. Upon termination, the client will be invoiced for all design and development hours logged up to the termination date.

7. Governing Law

These terms and any disputes arising from them will be governed by and construed in accordance with local regulations, without giving effect to conflicts of laws principles.
